These Terms of Service govern your use of the Kalau Architecture website and our professional architectural services. By engaging our services or using this website, you agree to be bound by these terms.

1

Introduction

Welcome to Kalau Architecture. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Kalau, SIA ("Kalau Architecture," "we," "us," or "our"), a company registered in Latvia under registration number 40203479498.

By accessing our website, engaging our professional services, or entering into any form of agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on this page. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

Our Services

Kalau Architecture provides professional architectural and design services, including but not limited to:

  • Residential architectural design and planning
  • Commercial and public building design
  • Interior design and space planning
  • Construction documentation and project management
  • Consulting and feasibility studies

The specific scope of services for each project will be defined in individual project agreements between Kalau Architecture and the Client.

3

Project Engagements

All project engagements between Kalau Architecture and the Client shall be governed by a separate written agreement or contract that outlines the specific scope, deliverables, timeline, and compensation terms.

Project timelines are estimates provided in good faith. While we strive to meet all deadlines, actual completion dates may vary depending on project complexity, regulatory approvals, client feedback cycles, and other factors beyond our reasonable control.

Any changes to the agreed project scope ("Change Orders") must be documented in writing and may result in adjustments to the project timeline and fees. We will communicate such adjustments clearly before proceeding with any scope changes.

4

Intellectual Property

All architectural designs, drawings, specifications, models, renderings, and other creative works produced by Kalau Architecture remain our intellectual property until full payment has been received for the applicable project phase.

Upon full payment, the Client receives a license to use the deliverables for the specific project as outlined in the project agreement. Kalau Architecture retains the right to use project images, descriptions, and documentation for portfolio, marketing, and promotional purposes unless otherwise agreed in writing.

The Client may not reproduce, modify, distribute, or use our designs for any purpose other than the agreed project without prior written consent from Kalau Architecture.

5

Fees & Payment

Service fees will be outlined in the project agreement and may be structured as fixed fees, hourly rates, or percentage-based fees depending on the nature and scope of the project.

Payment terms and schedules will be specified in each project agreement. Unless otherwise stated, invoices are due within 14 days of issuance. Late payments may incur interest charges in accordance with applicable Latvian law.

All fees are quoted in Euros (EUR) and are exclusive of applicable taxes (VAT) unless explicitly stated otherwise. The Client is responsible for any applicable taxes related to the services provided.

6

Client Responsibilities

The Client agrees to provide timely and accurate information, documents, and materials necessary for the successful execution of the project. Delays in providing required information may affect project timelines.

The Client is responsible for obtaining all necessary permits, approvals, and regulatory clearances required for the project, unless otherwise agreed. Kalau Architecture may assist in this process but does not guarantee approval outcomes.

The Client shall designate a single point of contact for project communications and decision-making to ensure efficient collaboration and timely progress.

7

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the engagement. This obligation survives the termination of any project agreement.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from third parties without confidentiality obligations.

8

Limitation of Liability

Kalau Architecture shall exercise reasonable professional skill and care in the performance of services. However, our total liability for any claim arising from or related to our services shall not exceed the total fees paid by the Client for the specific project in question.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

Kalau Architecture is not responsible for construction defects, contractor performance, or deviations from approved designs made without our written consent during the construction phase.

9

Termination

Either party may terminate a project agreement by providing written notice as specified in the individual project contract. Upon termination, the Client shall pay for all services rendered and expenses incurred up to the effective date of termination.

Kalau Architecture reserves the right to suspend or terminate services if the Client fails to meet payment obligations, does not provide necessary information within reasonable timeframes, or breaches any material term of the agreement.

Upon termination, all intellectual property provisions, confidentiality obligations, and payment obligations shall survive and remain in effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be submitted to the competent courts of the Republic of Latvia.
